Terms of Service

These Terms of Service ("Terms") govern your use of the NoTyp desktop application, website (notyp.com), web dashboard (app.notyp.com), and related services (collectively, the "Service") operated by NoTyp ("we," "us," or "our"). By creating an account, subscribing, or using the Service, you agree to these Terms.

1. Eligibility

You must be at least 16 years old to use the Service. By using NoTyp, you represent that you meet this requirement and have the legal authority to enter into these Terms.

2. Account Registration

• You must provide a valid email address and create a secure password to register.
• You are responsible for safeguarding your login credentials and for activity that occurs under your account.
• You must promptly notify us at hello@notyp.com if you suspect unauthorized access to your account.
• We reserve the right to suspend or terminate accounts that violate these Terms.

3. Subscription Plans & Billing

3.1 Plans

NoTyp currently offers the following subscription plans:

• Standard — $15/month. Includes access to a capable AI model with a monthly usage cap.
• Pro — $69/month. Includes access to a powerful multimodal AI model with a higher monthly usage cap and MicroApps.
• Elite — $199/month. Includes access to higher-capability AI models, scheduled agents, extended context, and a higher monthly usage cap.
• Enterprise — custom pricing. Includes multi-user billing, custom integrations, and dedicated support.

Pricing may change from time to time. We will provide at least 30 days' notice before a price increase takes effect for an existing paid plan.

3.2 Free Trial

New users may receive a free trial period, typically 7 days, with access to Pro-tier features and a limited usage allowance. When the trial ends, a paid subscription is required to continue using paid features.

3.3 Billing

• Subscriptions are billed monthly in advance.
• Payments are processed through Stripe. By subscribing, you also agree to Stripe's Terms of Service.
• Your billing cycle renews monthly from your subscription start date unless canceled.

3.4 Cancellation & Refunds

• You may cancel your subscription at any time through the dashboard at app.notyp.com or by contacting us.
• Cancellation takes effect at the end of your current billing period, and you will retain access until that period ends.
• We do not provide prorated refunds for partial billing periods.
• Refund requests for the current billing period may be reviewed case by case if submitted within 7 days of the charge. Contact hello@notyp.com.

3.5 Usage Caps

Each plan includes a monthly usage cap tied to API cost. If you reach your cap:

• Standard — AI access may be paused until the next billing cycle unless you upgrade.
• Pro — AI access may be paused until the next billing cycle unless you upgrade.
• Elite — access to Elite-tier models may be paused, while a limited Pro-tier allowance may remain available for the rest of the cycle.

4. Acceptable Use

You agree not to use the Service to:

• Violate any applicable laws or regulations
• Generate or distribute illegal, harmful, abusive, threatening, or harassing content
• Generate content that exploits or harms minors
• Impersonate another person or entity
• Attempt to gain unauthorized access to our systems, other users' accounts, or third-party services
• Reverse-engineer, decompile, or disassemble any part of the Service
• Use automated scripts or bots to access the Service (except through the official desktop application)
• Resell, redistribute, or sublicense access to the Service without our written consent
• Use the Service to build a competing product or service
• Circumvent usage limits, rate limits, or other technical restrictions

We may suspend or terminate your account if we reasonably determine that you have violated these Terms or used the Service in a way that creates legal, security, or operational risk.

5. AI-Generated Content

• The Service can generate text, code, documents, and other outputs ("AI Output").
• You retain your rights in your inputs and AI Output, subject to applicable law and any third-party provider terms that apply to the underlying models.
• AI Output is produced by third-party AI models and is provided "as is." We do not guarantee that any AI Output will be accurate, complete, reliable, lawful, or fit for your intended purpose.
• You are responsible for reviewing and validating AI Output before using it in legal, medical, financial, employment, compliance, safety-critical, or other high-stakes contexts.
• NoTyp is not liable for any decisions or actions taken based on AI Output.

6. Desktop Application & File Access

The NoTyp desktop application can read, write, and edit files on your computer, execute shell commands, run Python scripts, and control applications such as Microsoft Office and Chrome on your behalf. By using these features:

• You acknowledge that the AI may modify files on your device when you instruct it to do so.
• You are responsible for maintaining backups of important files before asking the AI to modify them.
• The application's checkpoint system may help recover from accidental changes, but it is not a substitute for your own backup practices.
• To the maximum extent permitted by law, we are not liable for data loss, file corruption, or unintended changes resulting from AI-directed file operations.

7. Third-Party AI Providers

The Service relies on third-party AI providers to process your requests. By using NoTyp, you acknowledge that:

• Your messages are transmitted to third-party AI providers for processing.
• Those providers have their own terms, privacy policies, and operational practices.
• We are not responsible for the independent behavior, availability, or data practices of third-party providers.
• Service quality, latency, and availability may vary based on third-party provider performance.

8. Intellectual Property

• The NoTyp application, website, brand, logos, and documentation are owned by NoTyp or its licensors and are protected by applicable intellectual property laws.
• We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service for your internal personal or professional use in accordance with these Terms.
• You may not copy, redistribute, sell, sublicense, or publicly make available the Service or its source code except with our prior written permission.
• MicroApps you create using the Service belong to you.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT:

• The Service will be uninterrupted, secure, or error-free
• AI Output will be accurate, complete, or reliable
• The Service will meet your specific requirements
• Any defects will be corrected

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, NOTYP WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, USE, BUSINESS, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THE SERVICE WILL NOT EXCEED THE AMOUNT YOU PAID US FOR THE SERVICE IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.

11. Indemnification

You agree to indemnify and hold harmless NoTyp and its officers, directors, employees, contractors, and agents from claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising out of or related to your use of the Service, your violation of these Terms, or your violation of another person's rights.

12. Termination

• You may stop using the Service at any time and may terminate your account by canceling your subscription and contacting us, if required.
• We may suspend or terminate your account for violation of these Terms or for legal, security, payment, or operational reasons, with or without notice where permitted by law.
• Upon termination, your right to use the Service ends immediately. Local data on your device remains under your control.
• Sections 5, 8, 9, 10, 11, and 14 survive termination.

13. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will post the updated Terms on this page and revise the "Last updated" date. Your continued use of the Service after the updated Terms take effect means you accept them.

14. Governing Law & Disputes

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable there, without regard to conflict of law rules. Unless applicable law requires otherwise, disputes arising out of or relating to these Terms or the Service must be brought in the courts located in Ontario, Canada.
